These Terms & Conditions (the "Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and AEXONI LTD ("AEXONI," "we," "us," or "our"), concerning your access to and use of the AEXONI website at aexoni.com, our automated trading systems (Expert Advisors, or "EAs"), and any related software, products, services, and content (collectively, the "Services").
By accessing the Services, registering an account, purchasing or leasing a license, installing any AEXONI EA, or otherwise interacting with us, you confirm that you have read, understood, and agree to be bound by these Terms in full. If you do not agree to these Terms, you must not access or use the Services.
1. Agreement to terms
You agree to comply with these Terms each time you access or use the Services. We may modify these Terms at any time, in our sole discretion. Material changes will be reflected by an updated "Last updated" date at the top of this page. It is your responsibility to review these Terms periodically. Your continued use of the Services following any changes constitutes acceptance of the revised Terms.
The Services are intended for users who are at least 18 years of age and who have the legal capacity to enter into a binding contract in their jurisdiction. By using the Services, you represent that you meet these requirements.
2. Intellectual property rights
Unless otherwise indicated, the Services and all source code, software, EAs, algorithms, designs, text, graphics, marks, logos, and other content (collectively, the "AEXONI Content") are owned or licensed by AEXONI LTD and are protected by copyright, trademark, trade secret, and other intellectual property laws of Singapore and other jurisdictions.
Subject to your compliance with these Terms, AEXONI grants you a limited, non exclusive, non transferable, revocable license to access and use the Services for your personal or internal business purposes. You may not:
- Copy, reproduce, distribute, publicly display, or publish any AEXONI Content without prior written consent.
- Modify, adapt, translate, or create derivative works of the AEXONI Content.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code or trading logic of any EA.
- Remove or alter any proprietary notices, marks, or labels from the AEXONI Content.
- Use the AEXONI Content for any commercial purpose other than as expressly permitted under these Terms.
All rights not expressly granted to you in these Terms are reserved by AEXONI LTD and its licensors.
3. User accounts and representations
Certain features of the Services require account registration. When you register, you agree to provide true, accurate, current, and complete information, and to keep this information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account.
By using the Services, you represent and warrant that:
- The information you provide is true, accurate, current, and complete.
- You have the legal capacity to agree to these Terms in your jurisdiction.
- You are not a minor in the jurisdiction in which you reside.
- You will not access or use the Services through automated, scripted, or non human means, except as expressly authorised by AEXONI.
- You will not use the Services for any unlawful, fraudulent, or unauthorised purpose.
AEXONI reserves the right to suspend or terminate any account that we believe, in our sole discretion, violates these Terms.
4. Purchases, leases, and license grant
AEXONI offers automated trading systems for outright purchase or periodic lease. Pricing, payment terms, and license duration are displayed at the point of sale and are subject to acceptance by AEXONI. All prices are quoted in United States Dollars (USD) unless otherwise stated, and may be subject to applicable taxes, including Singapore Goods and Services Tax (GST) where required.
Upon successful payment, AEXONI grants you a non exclusive, non transferable, revocable license to install and run the purchased or leased EA on the trading account number(s) you register with us. The license is limited to one (1) MetaTrader 5 trading account at any given time, unless otherwise specified. You may change the bound trading account up to once per calendar month through your customer dashboard.
Lease licenses renew automatically at the end of each billing period unless cancelled by you in advance. Outright purchase licenses are perpetual subject to your continued compliance with these Terms.
5. Refund policy
AEXONI Expert Advisors are functional digital products delivered immediately upon purchase. As the software operates as described in its published specification and remains in your possession from the moment of delivery, refunds are not provided as a matter of course.
In exceptional circumstances, the AEXONI team will review the matter individually and reach a fair, considered determination. Requests of this nature should be addressed to support@aexoni.com together with the relevant context. Lease payments for completed billing periods are non refundable; leases may be cancelled at any time through your customer dashboard, with cancellation taking effect at the end of the current billing period.
6. Updates and upgrades
AEXONI will provide free updates to the licensed EA for the lifetime of the product, including bug fixes, performance refinements, and minor feature additions. Major upgrades to a successor product will be communicated through your customer dashboard and email. AEXONI reserves the right to discontinue updates with sixty (60) days written notice.
7. Use of the EAs
You acknowledge and agree that:
- You are solely responsible for the trading account on which the EA is installed and for any resulting profits or losses.
- You will configure the EA's risk parameters appropriately for your account size, risk tolerance, and broker conditions.
- You will maintain a stable trading environment, including reliable broker connectivity and a suitable Virtual Private Server (VPS) where applicable.
- AEXONI is not your broker, financial advisor, or fiduciary, and provides no investment advice.
- Slippage, spread widening, broker execution quality, internet outages, and platform failures are outside AEXONI's control.
8. Confidentiality of strategy
The internal trading logic, indicator settings, parameter values, and strategy rules of any AEXONI EA are proprietary and confidential to AEXONI LTD. By purchasing or leasing a license, you agree not to attempt to reverse engineer, decompile, document, distribute, or publish the strategy logic in any form. Breach of this section is a material breach of these Terms and may result in immediate revocation of all licenses without refund.
9. Prohibited activities
You may not access or use the Services for any purpose other than that for which we make them available. As a user of the Services, you agree not to:
- Systematically retrieve data or content from the Services to create or compile a collection or database without our written permission.
- Circumvent, disable, or otherwise interfere with security related features of the Services.
- Engage in unauthorised framing of, or linking to, the Services.
- Upload or transmit any viruses, malware, or other harmful code.
- Resell, redistribute, sublicense, lease, or share any AEXONI EA, license key, or related materials.
- Use the Services to compete with AEXONI or to develop a competing product.
- Decipher, decompile, disassemble, or reverse engineer any software comprising or making up part of the Services.
- Use the Services in any manner inconsistent with applicable laws or regulations.
10. Risk disclosure
Trading foreign exchange and other financial instruments on margin carries a high level of risk and may not be suitable for all investors. The high degree of leverage can work both for and against you. Before deciding to use any AEXONI EA, you should carefully consider your investment objectives, level of experience, and risk appetite.
Past performance, including verified live track records, backtests, and forward tests, is not indicative of future results. No representation is made that any account will, or is likely to, achieve profits or losses similar to those discussed on the Services. You may lose some or all of your initial investment, and you should not invest funds you cannot afford to lose.
AEXONI does not provide investment advice. You are solely responsible for your own investment decisions and trading activities. Please refer also to our Risk Disclaimer.
11. Disclaimers
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, AEXONI disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non infringement, and any warranties arising out of course of dealing or usage of trade.
AEXONI does not warrant that the Services will be uninterrupted, error free, or free from technical defects, software bugs, glitches, or malfunctions. AEXONI is not responsible for any losses or damages arising from such issues, including but not limited to trading losses incurred while using AEXONI software in live markets.
12. Limitation of liability
To the fullest extent permitted by applicable law, in no event shall AEXONI LTD, its directors, officers, employees, or affiliates be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, trading losses, lost data, lost goodwill, or other intangible losses, arising from or related to your access to or use of the Services, even if AEXONI has been advised of the possibility of such damages.
AEXONI's aggregate liability to you for any claim arising out of or relating to the Services shall not exceed the total amount paid by you to AEXONI in the twelve (12) months preceding the event giving rise to the claim.
13. Indemnification
You agree to defend, indemnify, and hold harmless AEXONI LTD, its affiliates, and their respective officers, directors, employees, and agents from and against any losses, claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your use or misuse of the Services; (c) your violation of any law or the rights of a third party; or (d) any content or information you submit to AEXONI.
14. Term and termination
These Terms remain in effect for as long as you access or use the Services. AEXONI reserves the right, in its sole discretion and without notice or liability, to deny access to and use of the Services to any person, including for breach of these Terms.
Upon termination, your right to use the Services will cease immediately, and any associated licenses will be revoked. Sections of these Terms that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, limitations of liability, indemnification, and governing law.
15. Modifications and interruptions
AEXONI reserves the right to modify, suspend, or discontinue the Services or any part of them at any time, with or without notice. AEXONI shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services or any portion thereof.
16. Governing law
These Terms and any dispute or claim arising out of or in connection with them shall be governed by, and construed in accordance with, the laws of the Republic of Singapore, without regard to its conflict of law principles.
17. Dispute resolution
Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall first be submitted to good faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules in force at the time of submission. The seat of arbitration shall be Singapore, and the language shall be English.
18. Electronic communications
By using the Services, you consent to receive electronic communications from AEXONI, including emails relating to your account, your transactions, and the Services. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.
19. Miscellaneous
These Terms, together with any policies or operating rules referenced herein, constitute the entire agreement between you and AEXONI regarding your use of the Services and supersede all prior agreements. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
You may not assign or transfer these Terms or any of your rights or obligations hereunder without our prior written consent. AEXONI may assign these Terms freely, in whole or in part, without notice. Headings are for convenience only and shall not affect interpretation.
